⚖️ NON-EXCLUSIVE MECHANICAL LICENSE AGREEMENT

This Agreement is entered into as of the date of execution by and between:

Marquita Entertainment, LLC d/b/a Kindaqui Music (“Licensor”)
and
Client (“Licensee”)

1. 🎧 GRANT OF LICENSE

Licensor hereby grants Licensee a non-exclusive, non-transferable, revocable mechanical license to:

Record the musical composition
Reproduce and distribute Licensee’s sound recording
Publicly perform the composition

This license is strictly limited to the rights expressly stated herein.

2. 🔐 OWNERSHIP & COPYRIGHT

All rights, title, and interest in and to the composition, including:

Lyrics
Melody
Arrangement
Underlying composition

remain the sole and exclusive property of Marquita Nashaye Allen p/k/a Marquita®.

No ownership rights are transferred under this Agreement.

3. 💳 PAYMENT & ACTIVATION

This license becomes valid only upon full payment.

Failure to complete payment renders this Agreement null and void.

4. 📜 CREDIT REQUIREMENT

Licensee agrees to provide proper credit as follows:

“Written by Marquita Nashaye Allen p/k/a Marquita®”

This credit must appear in:

Streaming platforms
Metadata submissions
Album credits
Performance registrations

Failure to comply may result in license termination.

5. 🚫 RESTRICTIONS

Licensee shall NOT:

Claim ownership of the composition
Register the composition as their own
Sell, sublicense, or transfer rights
Use the composition without a valid license
Alter songwriter credit

6. ⚠️ INDEPENDENT CREATION & SIMILARITY WAIVER

Licensee acknowledges that Licensor may create works similar in theme, structure, or style.

Licensee agrees that:

Any similarity does not constitute infringement
No claim of idea theft or subconscious copying may be made

7. 🔒 INTELLECTUAL PROPERTY ENFORCEMENT

Unauthorized use of the composition constitutes copyright infringement and may result in:

Legal action
Injunctive relief
Monetary damages

8. 🚫 NO CHARGEBACK POLICY

Licensee agrees not to initiate:

Chargebacks
Payment disputes

Any attempt to reverse payment constitutes a breach of this Agreement.

9. ⚖️ INDEMNIFICATION

Licensee agrees to indemnify and hold harmless:

Marquita Nashaye Allen p/k/a Marquita®
Marquita Entertainment, LLC
Kindaqui Music

from any claims, damages, or liabilities arising from Licensee’s use of the composition.

10. 🔄 TERMINATION

Licensor may terminate this Agreement immediately if Licensee breaches any terms.

Upon termination:

All usage rights are revoked
Licensee must cease all distribution and use

11. ⚖️ LIMITATION OF LIABILITY

Licensor shall not be liable for:

Commercial success or failure
Distribution outcomes
Third-party platform issues

12. 🏛️ GOVERNING LAW

This Agreement shall be governed by the laws of the State of Texas.

13. ⚖️ DISPUTE RESOLUTION

Any disputes shall be resolved through:

Good faith negotiation
Binding arbitration in Texas (if unresolved)

14. ✍🏽 ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties.

15. 🔐 NON-TRANSFERABILITY

This license is personal to the Licensee and may not be transferred.
